11.4. Commission is earned only on valid, tracked, qualifying activity generated in good faith and in full compliance with these Terms.

12.6. If NGR is negative in any month, the treatment will follow the Commercial Schedule. For launch, the default position is negative NGR carry-forward to subsequent periods. Reeljoy may waive negative carry-forward on a case-by-case basis at its sole discretion. Where negative balance results from fraud, chargebacks, abuse, breach, or invalid traffic, Reeljoy may additionally recover, offset, or deduct such amounts from any current or future Commission.
12.8. Reeljoy may apply minimum requirements for Active Customers, deposits, NGR, quality of traffic, compliance status, or account activity before Commission becomes payable.

16.4. Upon termination, you must immediately stop promoting ReelJoy, remove all Tracking Links and Approved Content, stop using Brand Marks, cancel active campaigns, stop direct marketing, return or destroy confidential information, and comply with all takedown instructions.
16.5. Termination does not affect rights and obligations accrued before termination. Reeljoy may withhold, cancel, claw back, or reclaim any Commission at any time if, in Reeljoy’s reasonable determination, it is or was linked to breach of these Terms, Fraudulent Activity, irregular or non-genuine traffic, Restricted Territory traffic, prohibited audience targeting, marketing non-compliance, bonus abuse, chargebacks, AML or sanctions concerns, invalid customers, or any other non-compliance with these Terms. Reeljoy’s right to reclaim is not limited to the period immediately preceding termination.
17.1. Reeljoy may pay valid Commission accrued before termination if you have complied with these Terms, completed all verification requirements, submitted required invoices, and no review or dispute is pending.
17.2. Reeljoy may withhold, reduce, cancel, or reclaim Commission if termination is caused by breach, Fraudulent Activity, restricted traffic, misleading marketing, brand misuse, spam, privacy breach, AML/sanctions concern, bonus abuse, chargebacks, or other non-compliance.
18.1. Reeljoy may change these Terms, the Affiliate Program, Commission models, rates, tiers, products, markets, policies, technical requirements, tracking, payment methods, reporting, deductions, NGR methodology, and compliance rules at any time, in its sole discretion. Changes take effect on the date specified in the notice or, if no date is specified, immediately upon notification or publication.
18.2. Reeljoy will use reasonable efforts to notify material changes by email, affiliate platform notice, or publication on Reeljoy.com. Changes required by law, regulation, licence, regulator, provider, platform, risk, fraud, or urgent business need may take effect immediately.
18.3. Continued participation after a change is notified or published constitutes acceptance. If you do not accept a change, you must stop promoting Reeljoy and terminate your participation.
19.1. To the maximum extent permitted by applicable law, Reeljoy, its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of revenue, loss of profits, loss of Commission, loss of data, loss of goodwill, loss of business, business interruption, or loss of anticipated savings, however caused and whether arising in contract, tort, negligence, breach of statutory duty, or otherwise, even if Reeljoy has been advised of the possibility of such damages.
19.2. Reeljoy’s total aggregate liability to you under or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the total Commission paid to you by Reeljoy in the 3 (three) months immediately preceding the event giving rise to the claim.

20.2. Reeljoy may, at its option, assume control of the defence of any claim for which indemnification is sought. You agree to cooperate with Reeljoy’s defence and not to settle any claim without Reeljoy’s prior written consent.
21.1. These Terms are governed by the laws of the Republic of Costa Rica. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Costa Rica, and you irrevocably submit to that jurisdiction.
21.2. Before commencing any formal proceedings, the party raising a dispute must provide written notice to the other party. The parties agree to attempt good-faith resolution within 30 (thirty) days of such notice. Nothing in this clause prevents Reeljoy from seeking urgent or interim relief from any court of competent jurisdiction.
